W2 Contract-to-Hire
Location: South San Francisco, CA - Onsite Role
Job Summary:
Assist General Counsel by investigating facts, preparing legal documents, or researching legal precedent. Conduct research to assist with legal proceedings, to formulate a defense, or to initiate a legal action.
Duties and Responsibilities:
- Prepare/Review corporate and legal documents, including contracts, meeting minutes, SEC filings, and corporate correspondence.
- Gather and analyze research data, such as statutes, decisions, industry and legal articles, codes, and documents.
- Maintain a filing system for corporate and legal documents, and organize and maintain documents in a paper or electronic filing system.
- Work on a company-wide document management project.
- Creates/modifies appropriate template contracts tailored to the business needs; works with the vendor to manage the contract database.
- Assist with corporate records and document preservation.
- Work with the HR team on select matters, providing support on routine matters such as employee relations, compensation, input into policies, etc.
- Prepare for Board of Directors meetings, including assisting in corporate governance matters, as well as working with outside counsel.
- A hands-on approach and attention to detail in performing various duties, including drafting and reviewing various agreements. Example agreements include contracts with suppliers of materials or services, clinical trial agreements, professional services agreements, consulting agreements, consents/permissions forms, confidentiality agreements, and other miscellaneous contracts and corporate documents.
Requirements and Qualifications:
- Associate's degree (or other 2-year degree) or Bachelor's degree in paralegal studies, legal studies, or a related field.
- 3+ years of hands-on legal experience supporting corporate governance issues, public company reporting, corporate contracting activities, and healthcare compliance activities.
- Ability to identify complex problems and review related information to develop and evaluate options and support solution implementation.
- Basic knowledge of and experience assisting with legal issues relating to human resource functions and compliance with federal and state employment, employee benefit, and executive compensation laws.
- Basic knowledge of securities law and contract documents, and strong drafting skills, attention to detail is important.
- Ability to prioritize, handle multiple tasks, and work independently under tight deadlines.
- Ability to communicate effectively both verbally and in writing in both individual and group settings
- Excellent oral and written communication skills and critical thinking skills.
- Ability to work as a team member, multitask, and be very flexible to adapt to the ever-changing work priorities and requirements of a dynamic, fast-growing company.
- Proficient knowledge and skill in Microsoft Office Suite applications.
